BNTM HUB – Terms of Application and Use

These Terms of Application and Use (“Terms”) govern your application, registration, subscription, and subsequent use of the BNTM Hub platform (“Platform”) operated by BNTM Technologies Inc. (“Bentamo,” “we,” “us,” or “our”). By submitting this application, you acknowledge and agree to be bound by these Terms.


1. Application and Verification

1.1 Submission of an application constitutes your intent to register and use the Platform.

1.2 Acceptance of your application is subject to verification by Bentamo. We reserve the right to approve, reject, or suspend any application at our sole discretion.

1.3 Submission of false, inaccurate, or misleading information may result in rejection or termination of your application and access to the Platform.

1.4 Submission of this application does not guarantee access to the Platform. Only verified and approved users shall receive login credentials and access.


2. Account Registration and Security

2.1 You agree to provide accurate, current, and complete information during registration and to promptly update such information.

2.2 You are solely responsible for maintaining the confidentiality of your account credentials and are fully liable for all activities conducted through your account.

2.3 You must notify Bentamo immediately of any unauthorized access or security breach.

2.4 Bentamo reserves the right to suspend or terminate accounts due to security concerns, suspected misuse, or breach of these Terms.


3. Subscription, Fees, and Payment

3.1 Access to the Platform is subscription-based. The subscription covers:

  • Access to selected Platform modules;
  • Hosting of Your Data on Bentamo’s cloud infrastructure;
  • Maintenance, updates, and technical support as specified in the SLA.

3.2 Subscriptions may include optional modules, which may incur additional fees or usage limits. These module-specific fees and limits shall be clearly communicated at the time of subscription.

3.3 Subscription fees are charged according to the plan selected at registration and may include recurring charges. All fees are exclusive of applicable taxes unless otherwise stated.

3.4 Automatic Renewal: Unless cancelled, subscriptions will automatically renew at the end of each billing cycle at the prevailing rates. Users will be notified prior to renewal.

3.5 Cancellation Policy: Users may cancel subscriptions at any time. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partially used periods unless explicitly stated.

3.6 Non-payment of fees may result in suspension or termination of access until all outstanding fees are settled.


4. Data Ownership, Handling, and Privacy

4.1 All business data entered into the Platform (“Your Data”) remains the property of the registered company or business entity.

4.2 Your Data will be stored on Bentamo’s cloud infrastructure for the duration of your subscription and may be hosted domestically or internationally.

4.3 Users with authorized access may view, modify, or export Your Data at any time.

4.4 Bentamo may access Your Data solely for technical support, maintenance, troubleshooting, compliance with legal obligations, or as required by these Terms.

4.5 Bentamo will implement reasonable technical and organizational measures to protect Your Data against unauthorized access, alteration, disclosure, or loss.

4.6 Users consent to the storage, processing, and transfer of data in accordance with applicable data protection laws, including GDPR for users from jurisdictions where GDPR applies.

4.7 GDPR / Data Privacy Consent:
By registering, you expressly consent to Bentamo processing your personal and business data in accordance with this agreement, including storage, retrieval, and transfer to servers outside your jurisdiction if necessary. You acknowledge your rights to access, rectify, or request deletion of personal data where applicable.


5. User Obligations

5.1 You agree to use the Platform in compliance with all applicable laws, regulations, and ethical business practices.

5.2 You shall not:

  • Attempt unauthorized access to the Platform, servers, or other accounts;
  • Interfere with or disrupt the integrity, availability, or performance of the Platform;
  • Use the Platform for illegal, harmful, fraudulent, or prohibited purposes.

5.3 You are responsible for backing up critical business data to prevent loss or interruption of operations.

5.4 Users must ensure that all individuals accessing the Platform through their account are aware of and comply with these Terms.


6. Support and Service Levels (SLA)

6.1 Bentamo shall provide technical support as part of the subscription, according to the following Service Level Agreement (SLA):

6.2 Support requests can be submitted via email, chat, or ticketing system.

6.3 Bentamo shall not be liable for delays caused by factors outside its reasonable control, including internet outages or third-party service interruptions.


7. Intellectual Property

7.1 The Platform, including software, designs, interfaces, branding, and all content, remains the exclusive property of Bentamo.

7.2 No intellectual property rights or licenses are granted to users except for the limited right to access and use the Platform in accordance with these Terms.


8. Limitations of Liability

8.1 The Platform is provided “as is” and “as available.” Bentamo disclaims all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

8.2 Bentamo shall not be liable for:

  • Indirect, incidental, or consequential damages;
  • Data loss, corruption, or unauthorized access;
  • Interruptions or delays caused by technical failures, maintenance, or force majeure events.

8.3 Use of the Platform is at the user’s sole risk.


9. Termination and Suspension

9.1 Bentamo may suspend or terminate your access at any time if:

  • You violate these Terms;
  • Your application contains false information;
  • Your subscription expires, remains unpaid, or is cancelled;
  • We are required to do so by law.

9.2 Termination does not relieve you of obligations to pay accrued fees.

9.3 Users are responsible for exporting or backing up their data prior to termination; access to Your Data may be restricted or deleted thereafter.


10. Amendments

10.1 Bentamo may update or modify these Terms at any time.

10.2 Users will be notified of material changes. Continued use of the Platform after notification constitutes acceptance of the updated Terms.


11. Governing Law and Dispute Resolution

11.1 These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

11.2 Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of Philippine courts.


12. Consent and Acknowledgment

By submitting this application and selecting “I Agree”:

  • You acknowledge that all information provided is true, accurate, and complete;
  • You consent to the terms and conditions of this agreement;
  • You understand that access to the Platform is subject to verification and approval by Bentamo;
  • You consent to storage, processing, and handling of your data as described herein, including GDPR compliance if applicable;
  • You agree to subscription terms, automatic renewal, cancellation policies, and optional module fees;
  • You acknowledge the support SLA and limitations of liability.
